Hi, I am a UK citizen and I own 4% of a Singaporean Company, I was not paid by this company for many months. I have had to take them to an employment tribunal in the UK as they refuse to pay my wages. As retailation for this I have told that they will write off my shares and then pursue me for all costs. They have stated that the constitution allows us to do this within 28 days from the breach and without proof of breach. I'm not sure what if anything I can do about this? I have never been provided a copy of the shareholder agreeement or the constitution, so I am unsure how to get a hold of these documents. I have requested them but I am not holding my breathe that they will be provided to me. Some questions: Q1. How do I go about getting hold of a copy of the shareholders agreement and company consituation. I have requested them from the company but is a legal route to get hold of these documents? Q2. Is this type of clause legal in Signapore for a company to claim a breach without any proof? This seems plainly unfair? Q3. In addition to the unfair nature of taking the shares with no process, charging me without being given the chance to defend myself seems absurd can this be correct? Q4. Assuming there is nothing I can do I have two followups:- Q1. What sort of fee might this sort of thing attract ie. writing off shares? Q2. What are my options to complain about this? Thanks
